HAWTHORN FOOTBALL CLUB LIMITED
NOTICE OF THE 106TH ANNUAL GENERAL MEETING
The 106th Annual General Meeting of the Hawthorn Football Club Limited (“Club”) will be held at the Hawthorn Town Hall, 360 Burwood Road, Hawthorn on Monday, 8 December 2008. The meeting will commence at 7.00 pm.
The purpose of the Annual General Meeting is to consider the following motions proposed by the Club:

BUSINESS
PART A - SPECIAL BUSINESS (SPECIAL RESOLUTIONS)
1. Amendment to Constitution - Limiting Tenure of the President and Directors
To consider, and if thought fit, pass the following resolution as a special resolution:
That a new rule 6.2(c) be inserted directly after rule 6.2(b) as follows:
6.2(c) Notwithstanding Rule 6.2(b):
(i) the tenure of a director cannot exceed nine years unless:
(A) the director was appointed other than at an annual general meeting in which case the tenure will cease nine years from the annual general meeting following the director’s appointment; or
(B) there exists a director who at the time of the introduction of this rule has already exceeded a tenure of nine years, in which case the director will be entitled to be elected for one further term of three years from the next annual general meeting at which the director would otherwise have been due for re-election;
(ii) the tenure of the President cannot exceed six years from the date he or she was appointed to that position save if the President was appointed other than at an annual general meeting in which case the tenure will cease six years from the annual general meeting following the President’s appointment
provided a director can subsequently be appointed as President of the Club in which case the tenure of that person shall be the aggregate of the tenure served in each capacity under Rule 6.2(c)(i) and (ii).
Explanatory Note
Under the Constitution of the Club there is no limit on the length of time that the President and Directors may serve on the Board of the Club, save that in accordance with rule 6.2(b) of the Constitution, every three years their position falls vacant and they must offer themselves up for re-election.
To ensure compliance with sound corporate governance principles, the Board has proposed that the maximum tenure for Directors shall not exceed nine years and the maximum tenure of the President shall not exceed six years.
This will ensure that the Board is continually revitalised and continues to receive the benefit of fresh thinking and injection of new ideas.
The Board recommends that members vote in favour of this resolution.
PART B - ORDINARY BUSINESS
2. Annual Financial, Directors’ and Auditors’ Reports
To receive and consider the Annual Financial, Directors’ and Auditor’s reports.
3. Re-election of President
That Jeffrey Kennett, the President of the Club, retiring by rotation in accordance with the Constitution, being eligible and has nominated to be re-elected as the President of the Club.
As no other nominations have been received for this position Mr Kennett will be elected unopposed
4. Re-election of Directors
(a) That Bruce Growcott, a Director of the Club, retiring by rotation in accordance with the Constitution, being eligible and has nominated to be re-elected as a Director of the Club .
(b) That Martin Ralston, a Director of the Club, retiring by rotation in accordance with the Constitution, being eligible and has nominated to be re-elected as a Director of the Club.
As no other nominations have been received for these positions Messrs Growcott and Ralston will be elected unopposed.
5. Presentation of Life Memberships

Hawks celebrate 2008 at AGM

The Hawthorn Town Hall played host to the 2008 Hawthorn Football Club Annual General Meeting on Monday night with more than 300 Members turning out to reflect on the Hawks premiership campaign.
Hawthorn members were treated to a procession of premiership cups with all 10 held aloft by players and representatives from each year. The 2008 Cup was the final to be presented by coach Alastair Clarkson and captain Sam Mitchell to a standing ovation.
The Hawks continued to return a strong performance off-field in 2008, having announced a record profit of $4,054,368 in their annual financial report.
Members voted to amend the constitution to limit the tenure of the president to six years, while the tenure of directors was limited to nine years. The exception of current director Bruce Growcott, who has served nine years, was granted to an additional term of three years.
President Jeff Kennett, director Martin Ralston and director Bruce Growcott were elected unopposed for a further three year term.
Former player Peter Ryan received Life Membership for his services to the Club over 24 years as a recruiting officer. Past Secretary of the Confreres Adrian Gallienne was awarded Life Membership for his outstanding contribution to the Confreres over a range of activities.
Hawthorn director Bruce Growcott also received Life Membership in his 10th year on the Board. Growcott continues to offer exceptional accounting expertise as the lead of the Hawthorn Football Club finance sub committee.

Director Martin McKinnon has tendered his resignation from the Hawthorn Football Club Board.
President Jeff Kennett reluctantly accepted Mr McKinnon’s resignation, who cited increased demands in his role as Managing Partner of Zenithoptimedia amongst his reasons to step down.
Mr Kennett thanked Mr McKinnon not only for the professional experience that he brought to the Board but also his outstanding personality and drive that he had brought to the Hawthorn Football Club.
“Whilst the Board will miss Martin’s input in our deliberations, he has certainly played his part and has been an important influence in focusing the Club toward its future growth, and his input certainly contributed to the success of the Club in 2008,” said Mr Kennett.
“Martin will continue to assist the Club on projects on a consultative basis. However, at this stage, the Board has no intention of replacing Mr McKinnon but will discuss the make up of the Board at the next Board meeting later this month,” concluded the Hawthorn President.

Martin McKinnon joined the Board in 2006. He is a Board Member of Care Australia, on the Program Advisory Board of Victorian University and is a Patron of the Education Foundation. Mr McKinnon was formerly Managing Partner of Publicis Mojo and Head of Marketing at Qantas.

HSBC Bank in Australia has announced the renewal of its multi-million dollar sponsorship of Hawthorn Football Club, signing an agreement to continue as Principal Partner of the Hawks for up to three more years, which would take the partnership to nine years.
Stuart Davis, chief executive officer of HSBC in Australia said, "Since we signed up with Hawthorn in 2003, our relationship with the Hawks has gone from strength to strength.
"We've seen the Club undergo a remarkable transformation over the years, culminating in the outstanding 2008 AFL Grand Final win. We congratulate them on this tremendous achievement.

Five2Fifty plan 2/3rds achieved.
The bold plan for 2 premierships in five years with fifty thousand members is now 2/3rds achieved.
First with the 2008 AFL Premiership
Now with the announcement of 50,000 members less than seven months after that Grand Final win.
The final part of the plan will be the second premiership in the next four.
The next big challenge will be maintaining this membership base. That could be harder than achieving the feat? Certainly being 1-3 at start 2009 season does not help.
Well done to all at Hawthorn for having the vision and commitment to see the plan through.
At a guesstimate every 5,000 members signed = $1 million dollars for the club in revenue!

14,700 new members. With 50,128 members to date from last years membership record of 41,686 = 8,442 more people have joined than last year yet 6,258 from last year have NOT rejoined. About a 15% churn rate. I believe the club has set a churn rate of 10% - so still some way to go.
12,000 junior members - this is good, bodes well for the future interest and support of the club.
6,547 Tasmanian members up from 1,400 in 2005. Club wants 10,000 Tasmanian members by June 2012.

Message from the President
Over 50,000 Australians have entrusted their support of Australian Rules Football through paid membership of our Club, the Hawthorn Football Club.
The Board wishes to thank each and everyone of those 50,000 members, which is not only a record membership for Hawthorn Football Club, but a record for any Victorian based team.
The Club does not take your membership for granted and will continue to work hard to retain your support.
It is worthy to reflect on some of the reasons why the Club's membership is so strong.
The family club is not just a couple of words Hawthorn uses loosely. It is a phrase that encapsulates the very existence and spirit of the Club. That spirit is personified in one of our Legends of the Club, John Kennedy Senior. A committed family man, former Hawthorn player and coach of our first Premiership team in 1961, and 1971 and 73, former Chairman of the AFL Commission and teacher and education administrator.
John has always been highly professional at everything he undertaken, so committed to the Hawthorn Football Club, but has a level of humility that makes him a role model for everyone associated with the Club.
Hawthorn has had tough times: we will not always win premierships, the Club and individuals will from time to time make mistakes, but the spirit of John Kennedy, the culture that has developed from that spirit, the addition of more recent activities such as our trekking of the Kokoda Track every two years with our new players, our increasing community activities, and our ongoing education programs for players and staff, make the phrase the family club at Hawthorn a fact.
So many of our members have joined the Club because they have confidence in what the Club stands for, and the way in which they are included and respected by the Club.
For many new members they are encouraged and excited by the obvious way in which the Club is united in its work and endeavours to succeed. This fact is an obvious one for success, the alternative - that is disunity - be it in families, businesses, politics or sporting clubs rarely produces successful outcomes.
Secondly our partnership with Tasmania has been a major contributor to our growth in membership. At 30 June 2005 our Tasmanian membership stood at 1,400, today it stands at 6,547. A substantial increase and we sincerely thank all our Tasmanian friends who have so warmly welcomed Hawthorn to the apple isle.
Remember our five 2 fifty business plan has us achieving 10,000 Tasmanian members by 30 June 2012, so we still have some work to do, but we are well on the way to that target.
Thirdly as always the performance of our coaches and players is an important contributing factor. For the last four years they have been working to a plan that wonderfully secured the Club our 10th Premiership last year. So we are indebted to our football department for allowing us to dream, not only about success this year, but in any one of the next five years.
Yes, we have started slowly this year, mainly through an extraordinary run of injuries to so many of our players, but the dream remains alive. Whether we succeed this year or not, time will tell, but it is going to be a great test of our character. Again an exciting place to be.
Finally this 50,000 membership result could not have been achieved without the hard, but professional and creative work of our membership team led by Greg Cook and his team, supported by part time staff and volunteers.
Thank you all very much. The Board appreciates what you have achieved to date.
So in short, welcome and thank you to all our 50,000 members. Thank you to all sections of the Club who have combined to achieve this result.
It has been a wonderful team effort of which we can call be proud, and humbled by those who have entrusted us with their membership support.

Hawthorn sets membership record

The milestone figure was revealed by club president Jeff Kennett in an email to all members last night.
Last year's 41,686 members was a record for Hawthorn but the Hawks set a target of 50,000 after winning the 2008 Grand Final with an upset win over Geelong.
Among the 50,000 are more than 12,000 junior members and more than 6700 in Tasmania.
More than 14,700 are first-time members or have rejoined in 2009.
“The board wishes to thank each and everyone of those 50,000 members, which is not only a record membership for Hawthorn Football Club, but a record for any Victoria-based team,” Kennett's email said.
all-time membership record is 50,976, set by Adelaide Crows in 2007.

From the President: Indigenous round

Today is an important day in the evolution of the Hawthorn Football Club.
At 11am today, player Mark Williams will raise the Aboriginal flag above our home at Waverley, to fly proudly beside the Australian and Hawthorn Football flags.
While this should be occurring just prior to the weekend the AFL celebrates it Indigenous round, it is by sheer co-incidence.
Last week when in Perth, when in the room with the players after our hard fought win against Fremantle, I was talking to Mark Williams as he was being attended by the Clubs physio.
Also present was the Clubs CEO Ian Robson, who said to Mark “Ask Jeff the question” The question Mark put to me, after some prompting from Ian was “When are we going to fly our flag at Hawthorn?”
It was a good question. And when you think of the number of Indigenous players who are now at Hawthorn, all the more appropriate. Mark Williams, Chance Bateman, Lance Franklin, Cyril Rioli, Cameron Stokes and now Carl Peterson.
Fortuitously the Hawthorn Board met last Monday evening, and Mark Williams question was raised. It was unanimously decided to grant Mark his request, and to signal the Hawthorn Football Clubs appreciation of the very great contribution made to the Club by its indigenous players today, and those that will proudly wear our colours in the year ahead.
So from 11am today the Aboriginal flag will fly proudly atop our headquarters and training facility at Waverley.
We thank Mark Williams for his contribution to Hawthorn, and his leadership on this and other matters of value at the Club. Mark is a wonderful servant of the Club, and in turn I trust he feels the Club is giving him life time experiencing opportunities.
As we head to the MCG on Sunday for our game against Melbourne, let's celebrate the AFL’s Indigenous round in the knowledge that our Club would be substantially poorer without the presence of our indigenous colleagues. for hawthornfc.com.au

"Dear members,
Preparations are continuing for next year.....
Now I wish to announce that Richard Garvey has been invited, and has accepted, our invitation to join the Board of Hawthorn Football Club.
As you know the Club's Constitution states that no Board member can serve more than three, three-year terms, and a President no more than two terms.
That means at the end of next year our senior Board member Bruce Growcott will not be eligible for re-election, nor will I as your President."

Third year Hawks member Barbara Weilharter, who was the Club’s record-breaking 54,474th signing, was delighted to make history as part of the Gold and Brown Hawk Force."

Hawthorn Board recommends the Club’s next President

Hawthorn Football Club is pleased to announce Vice-president Andrew Newbold will be recommended to members to succeed outgoing President Jeff Kennett.
In a unanimous decision by the Board, Newbold’s appointment will be subject to a members’ vote finalised at Hawthorn’s AGM.
