Dear Aphrodite, :D

By now you would have received information regarding proposed changes to the constitution to be voted on at this year’s Annual General Meeting.

I understand that you may have questions regarding what it all means, so I thought it was an opportune time to provide you with some clarity.

What is the Independent Nominations Committee?

The Independent Nominations Committee (INC) consists of three members. Two are independent members with expertise in corporate governance including Andrew Mansour and John Davies, as well as the President of the football club.

Andrew has been the returning officer for the Club for 23 years and is a partner at the law firm K&L Gates with recognized expertise in corporate governance practice.

John is a former audit partner of Ernst and Young and has been a member of numerous governance committees including Chairman of the Audit & Risk Committee at Cricket Australia, member of the Audit Committee at Golf Australia, and has completed governance reviews of various Australian sports on behalf of the Australian Sports Commission.

Why does the Club need an Independent Nominations Committee?

The purpose of the INC is to make sure we are getting diversity and an appropriate range of skills onto the Board of the Carlton Football Club. We want Board members who are passionate, highly skilled, and who have adequate time to actively contribute to our Club’s future.

As President, it is my duty to ensure we deliver the right governance and procedures for our members, while also ensuring we have a succession plan in place for the future.

What is the role of the INC?

The INC’s role is to review the balance of skills, knowledge, experience and diversity on the current Board and provide recommendations on how nominees may enhance the Board in the future.

Can any member still nominate for the Board?

Yes. In any given year, any Carlton member can nominate to be on the Board by sending a nomination form to the Club secretary before September 1. A nominating member simply needs to comply with the INC process. As part of that process, nominees will be required to provide a standard set of information to enable the INC to assess their capacity to act as a director.

Can the INC prevent a member from running for the Board?

No.
The INC will review nominations and make recommendations to the Board. Even if the INC provides a negative recommendation or no recommendation at all, the nomination will still proceed to ballot. However, the INC may identify a factor that prevents a nominee from acting as a director (eg failure to meet statutory requirements).

The role of the INC is not to reject a nomination, but rather to ensure that the Board is sufficiently informed about the suitability of a nominee. In turn, that information can then be relayed to members ahead of any vote.

Is the INC independent?

Yes.
The INC is consistent with ASX best practice guidelines for the independence of the nominations committees of listed companies. In particular, the INC consists of a majority of independent members with an independent chair, and its rules and procedures will be transparent. While the Club is not a listed company, the Club is a large and complicated business that aspires to best practice.

A number of other football clubs have similar committees, including Greater Western Sydney, Hawthorn, Essendon, Richmond (and indeed the AFL itself has a nominations committee on which the Chairman sits.)


Is the Board number being reduced?

In effect Yes,

as we are proposing to cap the number of Directors at 10.
In December 2013 we had 13 Directors on the Board and over the last twelve months we have seen the retirements of Stephen Kernahan, Ryan Trainor and Richard Newton, bringing the current operating number down to 10 Directors.

Hopefully the above helps clarify any queries you may have had about the proposed changes.

Given the importance of the proposed constitutional changes to promoting transparency and good governance at the Club, I recommend the changes to you and encourage all members to vote.

Q) I think we're losing members because of the coach. The way he comes across on TV is appalling. I've scaled back my memberships because of it.

Q) I feel the ground is an unutilised asset. I want Carlton to have a home ground advantage. How much is still owing on the stands?

Q) Why don't you recognise the oldies? It feels like we're in the past.

Q) Is the standard of the Northern Blues high enough? We didn't seem to develop our youngsters well enough over the past three years.

Q) We now have more than enough evidence to show that "quick fixes" don't work. Is the quick fix dead?

I thought Trigg did pretty well to respond to some of the stupidity thrown at him

Appreciate those who have the nous to explain our financial position. Equally, I appreciate those that don't but still have a crack anyway.

I'm just looking forward to the year that our viability as a going concern isn't questioned in our annual report...that'll be sweet.
 
Just read that our CFO is Williamstown's new CEO. I'm guessing we'll be needing a new CFO.

Let's just look at some of the visible aspects..........Nah, we're not the best in the league yet but it's no surprise that Hawthorn "get it"

Things slowly on the up

Again, it's not just Carlton but only a week or so ago, players were still shown in their previous clubs colours.
Would Manchester United allow a recently acquired Liverpool player to be presented in his old shirt? Just sounds crazy to me yet it's no big deal here.

You want to adopt best practices you have to look beyond your own backyard.
Not saying I share no faith for the club because Trigg does come across as someone who gets things done.
I just hope (I dislike that word but have nothing better) that the board share the same drive. They'll need to.

I'm sorry but how does the pictures of recently acquired players have anything to do with the success and failure of this club. Reading some of the comments made during the AGM it crazy to think why some people do the things they do. For example, who scales back their membership because they don't like the tone in which MM speaks to the media? Do people like that really exist? Seems completely irrational to me.

I'm looking at the P/L and B/S statements and thinking why aren't people asking questions about certain figures and questioning such items as the Marketing/Other expenses that seem to be irregularly high in my opinion compared to questions like "why dont you recognize the oldies?". Who even let this person in the building?!

It's frustrating to think some such great opportunities to engage in necessary and useful conversation with the leadership of the club is squandered on those who frankly don't seem to have a clue what their talking about.

I agree though that given all that time to think of questions, that's what people come out with.
To be fair though, if you or I were so concerned why weren't we there when they made the effort?
 
To me it's representative of an attitude that mediocrity is acceptable. You might think I'm reading too much into it but until we have everything as perfect as possible-from the website to the photos to the membership department to the on field performance-we will never grow and we will never be truly successful.

It comes across that we haven't dotted all the i's and crossed the t's and this won't be allowed/tolerated in an environment where only the best will do.
Not having a go at someone/something I don't know, but I couldn't allow something clearly so second-rate to have my name to it.....

Is our membership department also allowed to be lazy? ....... what about our shop? ....... What about the boards accountability? ...... what about the transparency that we want to project?
Get it right all across the board and people will buy in.

Recall back in the mid 00's wondering why I was seeing so many Hawthorn jumpers being worn casually.
I didn't get it. I thought why would people want to be so proud wearing those horrible colours...........I get it now. They knew they were onto something.
The club was engaging all the members, supporters in a way that wasn't visible to all of us............they knew they were going somewhere....and they have.
