Filling casual vacancies on boards or committees of clubs and associations by appointment is something that is a common practice .The time for members to vote is at an AGM.

This is really a case of nothing to see here.
That's where you're wrong though, the members no longer have rights to vote on these things. The decision is final, it's not just a casual fill of a vacant spot

People can't stand for election at an AGM? By the way, it's not a casual fill, i never said that, its the appointment to a casual vacancy. If nobody stands for an election at an AGM then they stay if that is what they choose to do.

No, they can't. You need to be nominated by the Independent Nominations Committee. Refer Section 9 of the constitution:

It would seem ordinary members retain voting rights, but that would only be significant in the case where the INC makes multiple board director options for members to choose from. This hasn't been the case in the three years that the INC has been in operation

No, the INC does not nominate candidates, it determines whether a nominee meets the criteria to stand for election, there is a difference.

9.3A(e) The Independent Nominations Committee will report to the Board on the suitability of each candidate for appointment as a Director and will make a recommendation in relation to each candidate as to whether the Board should endorse the candidate's nomination for election as a Director of the Club

People have to nominate themselves for election before they are interviewed by the INC which makes a recommendation to the board, it does not nominate them. The INC doesn't go out looking for candidates.

Will "report" "on the suitability of each candidate". It does not say or state that they nominate candidates
