Transfers are effectively contracts between clubs and under FIFA rules, and probably the laws in the clubs respective countries (although I'm not 100% sure on that one), are legally binding. It would be a massive shitshow and almost certainly go to the CAS and possibly legal action if a club didn't abide by the terms of the agreement.
FIFA won't allow a club to have control over a player who isn't registered to them.
Buyback clauses are effectively gentleman's agreements and go against FIFA guidelines. They are only worth the paper they are written on if all 3 parties want the transfer to happen. Otherwise they mean jack shit and are unenforceable.
